Michael’s expertise lies in transactional company law (including associated financing) and contracts. He has advised on various mergers and acquisitions and capital market transactions and projects. Public company M&A transactions include: Sinosteel takeover of Midwest Mining,Ansteel investment in Gindalbie. He has involved in numerous IPOs including in the technology and pharmaceuticals sectors, and in the Australian resources sector and various cross-border listings (including China/Australia).
Michael has excellent working relationships with ASIC and ASX. He has been involved in numerous submissions and working groups dealing with reforms to Australia’s capital markets over many years. He is also a long-standing member (over 20 years) of the Corporations Committee of the Law Council of Australia
Clara has expertise in M&A transactions and in capital transactions including equity capital raising, regulated issues of financial products. In addition, Clara has experience in dealing with ASX and ASIC, and in preparing and lodging regulated offer documents including prospectuses and PDSs.
She has been involved in many overseas investments, mainly responsible for due diligence, preparing various documents, giving FIRB advice and undertaking negotiations.
David has extensive experience in finance, investment and merchant banking. He has ACIS, CPA, ASIA and many other professional qualifications.
David has been a former Director in companies across various industries, including Pitt Capital Partners Ltd., Kleinwort Benson Ltd., Stockland Trust Group and many others. Over his career David has participated at the board level in some 42 private and listed companies and has also been the principal adviser in over 210 mergers and acquisitions projects.
Drew is a registered auditor, Member of the Institute of Chartered Secretaries and Accountants, Member of the Australian Institute of Company Directors
He is responsible for the audit of a number of large public companies, significant private entities, and a range of schools and not for profit entities.
Drew has extensive knowledge in valuing businesses and shares, preparing prospectuses, independent accountants reports and in undertaking detailed due diligence for acquisition and vendors. In undertaking these roles he has developed extensive knowledge of the rules and regulations of ASIC and the ASX.
Andrew has over 15 years' experience in providing corporate tax advisory, R&D and compliance services. This has included senior tax accountant roles at ASX and internationally listed companies such as Cadbury, Schweppes, and Cochlear Ltd.
He is a Member of the Institute of Chartered Accountants, Fellow of the Tax Institute of Australia (Chartered Tax Adviser).
